Overview

Rakan is a Saudi Arabian qualified senior associate in our corporate and capital market practices.

Rakan has experience in advising on IPOs, rights issues, public M&As and a number of equity and debt issues in Saudi Arabia, as well as advising on incorporations and joint ventures of both local and international clients.

Rakan also advises corporate and capital markets clients on various regulatory and complex legal matters in relation to Saudi Arabian laws.

He also has substantive experience in representing clients (local, regional and international) before the General Authority for Competition in merger control filings and compliance investigations.

Rakan is fluent in Arabic and English.

Experience

  • Advised Saudi International Petrochemical Company (SIPCHEM) on its SAR $16 billion public acquisition of the entire share capital of Sahara Petrochemical Company by way of share swap and continued to support SIPCHEM through its integration with Sahara post-acquisition.*
  • Advised a strategic shareholder throughout the merger between Alawwal Bank and Saudi British Bank.*
  • Advised international clients on capital markets transactions, including private transactions, private placements and dribble-out sales.*
  • Advised several investment firms and investment funds on Capital Market Authority matters, including compliance and governance.*
  • Provided board secretarial support and advised several closed joint stock and public listed companies on governance and compliance procedures.*
  • Assisted in negotiating and drafting several joint venture/shareholder agreement, and implementing the same to set-up the corporate vehicles in Saudi Arabia.*
  • Advised KCA Deutag on its acquisition of a Saudi drilling business, including being involved in the due diligence process, transactional documentation and regulatory activities.*
  • Supported various industrial clients on procurement, harmonization of standard terms and internal compliance policies and regulatory activities.
  • Advised several multinational clients in various industries on all aspects of HR/labor-related activities, including advising and representing clients in disputes before the Labor Disputes Settlement Committees and the Labor Courts.*
  • Advised Takween Advanced Industries Company on its rights issue on the Saudi Stock Exchange (Tadawul), which was at the time the second largest rights issue on Tadawul.*
  • Advised Raydan Restaurants and Cuisines on their IPO on the Saudi Parallel Market (Nomu), one of the first IPOs listed on Nomu.*
  • Advised a company on its IPO on Nomu, including due diligence exercises, drafting the due diligence report and preparing the legal sections of the prospectus.*
  • Advised a foreign defense company on its licensing matters and advising on its submission of a bid for a mega project.*
  • Represented Derayah Financial Company, a leading investment bank in KSA. On the formation of the digital bank. D360, with a capital of SAR 1.65 billion (US$440 million), including obtaining the digital bank’s baking license from the Saudi Central Bank.
  • Advised the Noble Corporation, a global offshore drilling company, on the sale of its off-shore drilling rigs in KSA.
  • Advised Caterpillar Inc, an American Fortune 100 corporation, on all aspects of its acquisition of the oil & gas division of SPM, including advising Caterpillar on post-acquisition integration of the SPM oil & gas division.
  • Advised and represented clients before the General Authority for Competition in various local and international transactions in various markets; including energy, pharma, medical, sports & entertainment, media, agriculture, technology & IT and others.
  • Advised Malaz Capital on all aspects of its acquisition through a private investment fund of RAM Dental clinics and RAM Pharmacy Co.
  • Advised and represented several major international franchisors in the food & beverage industries on entry into and compliance with applicable laws and regulations in the KSA market.
