Overview

Nikolai Gryzunov focuses his practice on corporate transactions, including domestic and cross-border mergers and acquisitions, corporate reorganizations, joint ventures and securities offerings. His practice also includes debt financings and securities and corporate compliance issues.

Nikolai began his career in Moscow, where he maintained a diverse practice, advising domestic Russian and international clients (including multilateral financial institutions) on corporate and finance transactions and regulatory matters.

  • Liberty Latin America Ltd. – sale of approximately 1,300 telecommunications towers across Panama, Jamaica, the Bahamas, Puerto Rico, Barbados and the British Virgin Islands to Phoenix Tower International
  • Liberty Media Corporation – split-off of the Atlanta Braves and its associated real estate development project and the creation of a new Liberty Live Group tracking stock
  • Saudi Arabian Mining Company (Ma’aden) – acquisition of a 9.9% stake in Ivanhoe Electric, Inc.
  • International investment vehicle – joint venture to build and operate an international subsea cable system in the Caribbean and Central America
  • Bay Area Life Sciences Company – advice on board matters, corporate governance and negotiation of corporate and financing transactions
  • Subsidiary of Sunnova Energy International Inc. – amendment, restatement and upsizing of an existing revolving warehouse credit facility for residential solar loan agreement for an aggregate commitment amount of $875 million and an uncommitted maximum facility amount of $1 billion
  • Telecommunications Commission of the Turks and Caicos Islands – advice in connection with a proposed inter-island fiber optic cable system including as to potential financial and corporate structures for the requisite investment and the compatibility of such structures with national regulation and law
