Overview

Jesse T. Nation is a member of the Energy Projects and Transactions section of the firm’s Global Projects Practice. His practice focuses on guiding clients through the construction, acquisition and disposition of upstream, midstream, LNG and renewable energy projects.

In his construction work, Jesse drafts and negotiates contracts for engineering, procurement and construction regarding energy, manufacturing and redevelopment projects.

Jesse also regularly advises clients regarding the development, operation, purchase and sale of energy projects across various sectors of the energy industry, including oil, gas, LNG, solar, wind, hydrogen, geothermal and carbon sequestration.

Jesse has an extensive land and title background. He began his career as an upstream oil and gas attorney focusing on representing South Texas independent producers and ranches. Before joining the firm, he completed a secondment with an international pipeline company, where he handled land and project-related legal issues.

Private Energy Company - $250 million acquisition of fee mineral interests in the Permian Basin; drafted and negotiated the purchase agreement

Private Energy Company - $50 million acquisition of leasehold interests in the Utica Play; drafted and negotiated the purchase agreement

Private Energy Company - $100 million acquisition of three wind projects totaling 827 megawatts; reviewed and assessed project leases, easements, title policies and surveys; revised real estate provisions in purchase agreement

National Financial Institution - $200 million loan to a project developer to support development of a 200 megawatt solar project; reviewed and assessed project leases, title policies and surveys; revised real estate provisions of finance agreement

Private Mining Company - $50 million asset sale of substantially all of its assets; drafted and negotiated the asset purchase agreement; prepared disclosure schedules and visited with client’s board and employees regarding such schedules

Public Midstream Company - $15 million asset sale of a pipeline system; drafted and negotiated the purchase and sale agreement and ancillary closing documents; prepared and visited with client’s representatives regarding disclosure schedules

Public Energy Company - $50 million asset acquisition of an 800 megawatt solar project; reviewed and assessed project leases

Private Energy Company - $45 million acquisition of a portfolio of early stage solar and energy storage projects; reviewed and assessed project land agreements and real estate curative items

Court Appointed Receiver - $50 million and $100 million sale of real estate assets in downtown Austin, Texas; drafted and negotiated the purchase and sale agreements; negotiated confidentiality agreements regarding property diligence materials

Construction Experience

Public Energy Company - drafted and negotiated (a) a turbine supply agreement, (b) EPC agreement and (c) long-term servicing and maintenance agreement for a 700 megawatt project in Texas.

Public Energy Company - drafted and negotiated (a) turbine supply agreement, (b) EPC agreement and (c) long-term servicing and maintenance agreement for a 455 megawatt project in Texas

Energy Cooperative - assisted with soliciting bids and negotiating an EPC agreement for a 62 MW solar project in Florida

Private Company - negotiated and assisted with (a) an EPC Agreement and (b) consulting agreement regarding improving production facilities within existing plants in Texas and Illinois
