Deal Description: Wireless Telecom Group, Inc. (NYSE American: WTT) (“WTT”) today announced that it has entered into a definitive merger agreement to be acquired by Maury Microwave, Inc. (“Maury”) in an all-cash transaction. Under the terms of the merger agreement, Maury will acquire all the outstanding shares of WTT for an estimated total cash consideration of $2.13 per share.

The transaction is subject to approval by WTT shareholders and other customary closing conditions. The transaction is expected to close in the third quarter of 2023. The transaction has been unanimously approved by the board of directors of each company. CDX Advisors acted as financial advisor to WTT on the transaction. Baker Botts represented CDX Advisors.
