Overview

Inaya Homoud is an English law qualified associate advising clients on a range of international projects and corporate matters, with a focus on the energy sector. Ms. Homoud is fluent in Arabic.

Ms. Homoud has recent experience in energy and infrastructure projects, including drafting and negotiating agreements for the sale and purchase of liquefied natural gas (LNG), natural gas and hydrogen.

Further, Ms. Homoud has experience in running due diligence reviews, and drafting and negotiating complex M&A transactional documents.

Before joining Baker Botts in September 2019, Ms. Homoud worked for another international law firm in London.

  • Jordan Bromine Company – advising on a gas sale and purchase agreement
  • Air Products – Advising the EPC contractor and offtaker in relation to the construction and development of the world’s largest green hydrogen project in NEOM, Saudi Arabia
  • Neom Green Hydrogen Company – Advising the owner of the NEOM green hydrogen project in relation to various project development matters
  • International energy companies – negotiating and drafting long-term LNG sale and purchase agreements and master LNG sale and purchase agreements (MSAs)
  • 2Africa Consortium – Advising the cable owners in relation to various aspects of the deployment of the 2Africa cable system, the largest subsea fiber-optic cable system in the world
  • Advising a state-owned company on a hydrogen manufacturing unit (HMU) divestment
  • Acquisition of shares in a major exploration energy company in Madagascar, including conducting a due diligence report and participating in drafting the sale and purchase agreement
  • Acquisition of shares in a major mining company involved in the development and acquisition of advanced stage exploration and near term production gold projects
  • Major international energy company in relation to its proposal to sell its offshore oil assets in Central Africa, including due diligence on an exploration and production sharing contract and joint operating agreement and sale and purchase agreement negotiations with potential buyers
  • State owned oil corporation in West Africa on its entry into a gas development agreement for the commercial development and production of natural gas
  • Contractor – Operation and maintenance agreement in respect of an LNG Import Terminal (comprising of an FSU, FRU, and associated onshore gas pipeline) located in West Africa
  • Complex cross-border supply agreements for chemicals, including hydrogen peroxide
  • Asset-backed revolving credit agreement with a multinational bank as lender and a global leader in media technology solution as borrower
  • Stolt-Nielsen LNG – advising on the strategic joint venture investment by Stolt, Golar LNG Ltd and Höegh LNG Holdings Ltd. of US$182 million into Avenir to pursue opportunities to deliver LNG to areas of stranded demand, as well as the development of LNG bunkering capabilities*
  • Advising CGN Energy International Holdings Co. Limited on its acquisition of Enel S.p.A’s wind and solar assets in South America*
  • Lender – financing of a four-turbine wind farm scheme in the United Kingdom*
