Overview

Alex Kerr's practice is focused on energy project development and commodity trading. On the project development side, Alex advises both governments and sponsors on LNG, hydrogen and cross-border pipeline projects.

In terms of marketing & trading, Alex advises clients on agreements for the sale and purchase of LNG, pipeline gas and hydrogen. He has in-depth experience of drafting and negotiating long-term sale and purchase agreements, master sales agreements, and short-term/spot trades.

Alex also has in-house experience, having been seconded to several clients prior to joining Baker Botts, including the upstream legal department of ExxonMobil.

In 2021, 2022 and 2023 Alex was named a "Rising Star" in Oil & Gas by The Legal 500 UK.

  • ConocoPhillips – advising on two LNG SPAs to supply LNG from Qatar's North Field East and North Field South projects to Germany (DES)
  • Sinopec – advising on an LNG SPA to supply LNG from a U.S. LNG export terminal (DES)
  • MVM CEEnergy – advising on two LNG SPAs to supply LNG into the Croatia's Krk LNG Terminal, and also advising on terminal capacity issues (DES)
  • LNG Project Developer – advising on and negotiating the sale of 1 MTPA of LNG for a term in excess of 20 years to an offtaker in India (DES)
  • Origin Energy Limited – advising on an LNG sale and purchase agreement with ENN LNG Trading Company Limited for the delivery of LNG to China (DES)
  • International Energy Company – advising on dozens of LNG master sale and purchase agreements and related confirmation notices (both spots and strips of cargoes)

Natural Gas (Pipeline)

  • AGSC – advising on the development of a suite of standard form agreements to sell natural gas into Europe, and negotiating more than a dozen agreements with buyers to supply natural gas at physical and virtual delivery points
  • Jordan Bromine Company – advising on multiple gas sale and purchase agreements, and related gas import project agreements
  • Arab Potash Company – advising on long-term gas sales agreements to supply gas to Jordan
  • Meridian LNG – advising on gas sales agreement with Uniper Global Commodities SE to supply natural gas from Port Meridian

  • Air Products – advising on a long-term green hydrogen / ammonia offtake agreement

Project Development

  • Government of Tanzania and Tanzania Petroleum Development Corporation – advising on the planned multi-train onshore LNG liquefaction project to be developed in the south of Tanzania
  • Project Sponsor – advising on the joint venture project to develop the world's largest green hydrogen project, including advising on joint venture structuring, shareholders’ agreement, project risk allocation matters, offtake agreement and feedstock supply agreement
  • Steelhead LNG – advising on the development of a floating/at-shore LNG liquefaction project on Vancouver Island, Canada
  • Uganda National Oil Company – advising on the development of the $3.5bn 1443 km crude oil pipeline between Uganda and Tanzania (EACOP), including advising on the project shareholders’ agreement and host government agreement
  • Project Consortium – advising on the development of an LNG regasification terminal in central Europe, including developing the Terminal Use Agreement for the facility
  • Nuclear Reactor Engineering Company – advising on a project to design and build a nuclear power plant in the Middle East

  • Rosneft – advising on the acquisition of an interest in the Zohr gas field offshore Egypt for consideration in excess of US$ 1.5bn
  • International Energy Company – advising on a farm-down of interests in two petroleum exploration licences in Namibia
  • Novatek – advising on multiples sales of interests in the Arctic LNG 2 Project to CNOOC, CNPC and Mitsui/JOGMEC
  • ITOCHU Corporation – advising on the sale of CIECO Exploration & Production (UK) Ltd., an entity holding multiple upstream assets in the UKCS as well as interests in the Brent Pipeline System and the Sullom Voe terminal
  • Azerbaijan E&P company – advising on a shareholders' agreement for a joint venture with a national oil company
  • National Oil Company – advising on the potential purchase from two separate sellers of interests in the Azeri-Chirag-Gunashli (ACG) field in Azerbaijan, including interests in the related export pipelines
