Deal Description: On August 26, 2021, KNOT Offshore Partners LP (the “Partnership”) (NYSE: KNOP) established an “at-the-market program” and entered into an At-the-Market Issuance Sales Agreement with B. Riley Securities, Inc., as sales agent (the “Agent”), pursuant to which the Partnership may offer and sell from time to time up to $100 million of its common units representing limited partner interests in the Partnership through the Agent.

The Partnership intends to use any net proceeds of the sales of offered units for general partnership purposes, which may include, among other things, the repayment of indebtedness or the funding of acquisitions or other capital expenditures.
