Overview

Richard Guit is a leading projects and transactions lawyer with significant experience of different delivery, financing, and operating models across infrastructure and energy assets. He advises governments, project sponsors, multi-laterals, senior debt providers and investors across a range of sectors including renewable energy, carbon capture and CCUS, energy transmission, gas infrastructure, waste and waste-to-energy, ports, and mine development and processing for critical battery minerals. Richard's practice concentrates on Asia Pacific, drawing from 12 years of experience in London and over a decade in Australia.

Richard is skilled in complex and first-of-a-kind projects from advising the power provider on the world's largest off-grid renewable power supply to mining operations, to a national government on its decommissioning of an operating FPSO "abandoned" in national waters, to leading for the sponsors on developing Australia's first financially closed waste-to-energy plant, the first greenfield iron ore trans-shipment port on Australia's iron ore coast to leading on one of Asia's first cross-border HVDC renewable energy import projects.

  • Sponsors (confidential) on a proposed project financed cross-border HVDC transmission line (with convertor stations) connecting renewable power generation in one country to commercial power markets in another country.*
  • Lenders to Sunseap on a Singapore government procured 70MW project financed rooftop solar project in Singapore with Facebook as VPPA counterparty.*
  • Sponsor (confidential) on its JV arrangements for cross border renewable energy generation and transmission projects from Indonesia to a second country.*
  • Canadian utility TransAlta Corporation on the world’s largest off-grid renewable power supply to mining operations, delivering new renewables (wind, battery, solar) into BHP Nickel Wests existing 250mw portfolio, including over 500km of transmission lines.*
  • Macquarie and Dutch Infrastructure Fund as sponsors of the Kwinana WTE project, Australia's first waste-to-energy (WTE) project to achieve financial close.*

  • LeadFX, on the expansion of and proof of concept development at, Rosslyn Hill mine to enable lead ingots to be created from lead concentrate.*

Oil & Gas

  • Altera Infrastructure Partners (part of Brookfield) as supplier and operator of an FPSO for the Dorada gas field operated by Santos.*
  • ENI on the development of the Evans Shoal gas project off north Australia.*
  • Australian Government on all aspects of the decommissioning of the Northern Endeavour FPSO in Australian waters (an asset disclaimed by liquidators) and being fully decommissioned by the Australian government.*
  • AGL on the development of the gas pipeline and port infrastructure as part of the Crib Point LNG import initiative.*
  • Woodside on the procurement of a new village on a 20 year DBFO basis (design, construction, operation and maintenance of all accommodation services for its gas assets), the first time Woodside has done a long term financed outsourcing of non-core infrastructure long term FIFO accommodation.*
  • Fremantle Ports on LNG bunkering arrangements within the port, including operating conditions and licensing arrangements.*

Ports

  • Halifax Port Authority in Canada on negotiations with two international terminal operators (PSA and NYK) on terminal operating arrangements within the port.*
  • World Bank Group (including IFC) as lead advisor to the Government of Indonesia on the asset recycling program for state-owned enterprises with a focus on ports and power assets.*
  • Halifax Port Authority in Canada on procurement of cruise/ferry terminal operator through an EOI process, novel for Canadian ports.*
  • Fremantle Ports on the re-procurement of operators for two international container terminals and introduction of regulated charging structures, the first in Australia and first time in Australia brownfield terminals have been "offered" fresh to the market after 20 years of existing operation.*
  • Fremantle Port on the grant of a concession for the North Quay rail terminal for despatch and receipt of containers to/from the port on a 5-year basis with government subsidy underpin.*
  • Fremantle Ports on commercial "disputes" under various port services agreements (to handle import/export bulk product) worth circa AU$20 million.*
  • Fremantle Ports on all aspects of its "operating licenses" granted to service providers operating in the port (from tug boats, to mooring services, to stevedoring arrangements).*
  • Pilbara Ports on the development of a new multi-user multi-purpose terminal within Port Hedland, the world's largest iron ore export port.*
  • Itochu on port terminal arrangements in Albany in relation to the export of pulp / woodchip to Japanese paper mills.*
  • Pilbara Ports on the export of salt and potash by BCI group, through Cape Preston West port, in the Pilbara of Western Australia.*

Privatisation, Asset Recycling & Restructuring

  • State Government of Western Australia on the 2 year process of preparation for privatization of Fremantle Port and certain iron-ore port assets (did not proceed due to change of government).*
  • World Bank and IFC advising the Government of Indonesia on the implementation of the "Limited Concession Scheme" – an initiative of the Indonesian President to recycle SOE assets on a circa 40-year basis to liberate value and bring private sector experience into the operations.*
  • John Laing (in its capacity as only non-industrial investor) on the renegotiation with the state, of the Melbourne Metro Tunnel project where the private sector was US$2 billion "out of the money."*
  • John Laing (in its capacity as largest non-industrial investor) on the Royal Adelaide Hospital PPP where the contractor was in significant delay, circa US$300 million in cost-overuns.*

Rail & Road Infrastructure

  • Passenger Transport Authority of WA (PTA) on the US$4 billion procurement of 260 new electric passenger railcars and 20 year follow-on maintenance arrangements awarded to Alstom, including unique depot sharing arrangements (the first time in Australia).*
  • PTA on US$3 billion the procurement of new track and 20 new stations across Perth, by way of line extensions and upgrades through a multi-package procurement initiative – involving multiple procurements and packages and structures.*
  • John Laing and First State Super as 100% equity investors, on all aspects of their involvement in the Sydney Light Rail PPP the project through a "shadow" project counsel role (advising on debt, equity, project agreement, D&C and O&M).*
  • PTA on the procurement of passenger bus services as part of a franchised operation across Perth.*
  • Main Roads WA on the development of a strategic asset management outsourcing of the CBD metropolitan road network in Perth, and a separate procurement for the Southern WA network (these are 10-year framework agreements).*

Waste

  • Spanish giant Sacyr Concessionaires on its tender for a Perth based food and organics waste processing project.*
  • Kwinana WTE project company on its successful tenders for waste disposal contracts with multiple councils in Perth, Western Australia as well as its ash processing contracts with Blue Phoenix.*
  • Moreton Bay Council on its waste tender for a biomass or alternative waste treatment facility in Queensland, Australia.*
  • Cleanaway as bidder for the acquisition of the materials recycling facility being divested by a government entity, the Southern Metropolitan Regional Council.*
  • Cleanaway on "force majeure" claims arising out of 20 municipal waste recycling contracts arising out of China's "National Sword" policy.*
