Overview

Celia Tan is an associate in our Singapore office and part of the Energy Projects and Transactions section of the firm's Global Projects Practice. She advises regional and international clients on a broad range of energy-related transactions and projects within Southeast Asia and globally.

Prior to joining Baker Botts, Ms. Tan gained experience as an associate at a regional law firm based in Singapore, where she was involved in complex mergers and acquisitions, as well as corporate fundraising at various levels. Her experience includes drafting and negotiating mergers and acquisitions transactional documents, leading large scale due diligence reviews, as well as providing regulatory advice on company law and listing rule requirements.

Celia is admitted to the Singapore Bar and is fluent in English, Mandarin and Cantonese.

Experience

  • The project sponsor on the development of LNG regasification infrastructure at various sites across Indonesia, including a number of FSRUs, LNG Carriers and onshore regasification units.
  • An LNG buyer on the negotiation of a suite of master LNG sale and purchase agreements.
  • An LNG seller on the terms of a heads of agreement and LNG sale and purchase agreement for the term supply of LNG.
  • Proposed acquisition of 100% shareholding in an Indonesian based power plant company for an approximate consideration of US$160m.*
  • Proposed sale of 100% shareholding in a precision manufacturer in an auction sale.*
  • Disposal of the entire issued and paid-up share capital of a special purpose vehicle which is the registered proprietor of a property for an approximate consideration of S$280m.*
  • Disposal of the entire issued and paid-up share capital of a company which is the registered proprietor of a hotel located in Singapore at an approximate consideration of S$240m.*
  • Business and asset sale of a reproduction and fertility centre in Singapore.*
  • Late-stage series funding in a regional sporting company of over USD$150m.*
  • Series C funding for a food and beverage technology start-up with investments from various institutional investors.*
  • Proposed acquisition of 100% shareholdings in a hospitality group with operations spanning across Indonesia and Singapore at an approximate consideration of US$130m.*
  • Investment into an IT service and consulting provider over three tranches.*
