Travis Wofford is Chair of the Corporate Department in Houston, Vice Chair of the Global M&A Practice, and member of the Securities Opinion Committee. He is a trusted advisor to several public and private companies in their strategic transactions, capital raising activities, and SEC disclosure matters. He regularly counsels companies and their boards on fiduciary duty, sustainability and corporate governance matters, including controlling stockholder and related party transactions. Travis has assisted many clients in proxy planning and takeover defense, including "poison pill" rights plans. He has also advised issuers, underwriters and investors in novel, market-moving capital raising structures and liability management transactions. Travis has particular experience in the energy and technology sectors.
Travis has frequently been recognized for the quality of his legal and strategic advice. For mergers and acquisitions, shareholder engagement and corporate advisory work, he has been recognized in, among others, Lawdragon's "500 Leading Dealmakers in America" (2021). He is also known for leading the structuring and negotiation of financing solutions across a variety of capital sources. He led the sponsor's legal team for SNVA-2023 GRID1, the 2024 GlobalCapital U.S. Securitization awards' Esoteric ABS Deal of the Year and ESG Deal of the Year, the first ever securitization collateralized with a U.S. Department of Energy Loan Program Office guarantee. He was named a "2021 Texas Trailblazer" by Texas Lawyer Magazine/Law.com for his creative financing structures, including those for renewable energy investments. Travis also represented Liberty Media in its inaugural SPAC initial public offering of Liberty Media Acquisition Corp., the first public-company-sponsored SPAC for corporate finance purposes.
As an avid proponent of corporate governance education, Travis sits on the board of directors of NACD's Texas Tricities chapter (covering Houston, Austin and San Antonio) and regularly leads board, individual director and general counsel training and guidance. He is also a board member of Lone Star Legal Aid, which serves over 2-million low-income individuals, children, survivors of crime and veterans across Texas and Arkansas, accounting for roughly 10% of all low-income Southerners.
Travis also sits on the Business Organizations Code Committee of Business Law Section of the Texas State Bar Association, which analyzes and prepares updates to Texas statutes regulating business entities in the state.
