Deal Description: On February 8, 2021, Great Western Petroleum, LLC (“Great Western”) and its wholly owned subsidiary, Great Western Finance Corp., as co-issuer (“Finance Corp.” and, together with Great Western, the “Issuers”) priced an offering of $235 million aggregate principal amount of its 12.000% Senior Secured Second Lien Notes due 2025 (the “Notes”) in a Rule 144A offering that is exempt from the registration requirements of the Securities Act (the “Offering”). It is expected that the Notes will be fully and unconditionally guaranteed, jointly and severally, on a senior second lien secured basis by each of Great Western’s current and future subsidiaries (other than Finance Corp. and certain immaterial subsidiaries).

Great Western intends to use the net proceeds from the Offering to partially fund the redemption of all $251.5 million of the Great Western’s outstanding 9.000% Senior Notes due 2021. The deal is expected to close February 22, 2021.

Denver-based Great Western Petroleum, LLC, an affiliate of The Broe Group, is an independent oil and natural gas company focused on the exploration, development, acquisition and exploitation of unconventional reserves of oil, natural gas and NGLs in the core of the Wattenberg Field, which is located within the DJ Basin.
