Carina Antweil, Corporate, Houston

Ms. Antweil represents public and private companies in a broad range of corporate and securities matters. She represents issuers, investment banking firms and other investors in public offerings and private placements of equity and debt securities, including initial public offerings, follow-on and secondary public offerings and 144A offerings. Her practice also includes mergers and acquisitions and general corporate matters, including Exchange Act reporting and corporate governance. She has substantial experience in the oil and gas industry and is a member of the Baker Botts Oil and Gas M&A team. She has been named a Texas Super Lawyers “Rising Star” for the last five years.

Emil Barth, Global Projects, Washington, D.C.

Mr. Barth’s practice incorporates a broad range of regulatory, infrastructure development, litigation and transactional matters specific to the energy industry, encompassing nearly all aspects of energy regulation. The clients he represents include major electric, natural gas, oil, and renewable energy companies. He has represented clients in connection with energy and environmental matters before the Federal Energy Regulatory Commission (FERC), U.S. Department of Energy, U.S. Department of Commerce, U.S. Army Corps of Engineers, U.S. Coast Guard and other federal and state regulatory agencies. He has extensive litigation experience in both federal and state courts, as well as in contested hearings before administrative law judges at FERC.

Prior to attending law school, Mr. Barth worked as an assistant in the White House Office of the Chief of Staff and as an associate at a public relations firm.

Jody Boudreault, Litigation, Washington, D.C.

As part of the Antitrust Group, Ms. Boudreault works in healthcare, technology, fintech and other industries to help strengthen clients' competitive positions. Her practice includes mergers, acquisitions, JVs, information exchanges, contracts, and competitor collaborations. She advocates before the U.S. Department of Justice Antitrust Division (DOJ), Federal Trade Commission, and state Attorneys General. She is experienced in a wide range of antitrust issues and litigation including the Clayton Act, the Sherman Act, horizontal and vertical mergers, monopolization, cartel investigations, market allocation, network access, MFNs, foreclosure, refusals to deal, exclusive dealing, standard setting and more.

She started her career as an Honors Attorney in the DOJ. While at the DOJ, she investigated potential mergers in agriculture, defense, technology, manufacturing products, and consumer goods industries. Before DOJ, Ms. Boudreault externed for a law school semester at the Antitrust Bureau, New York State Office of the Attorney General.

She is currently a vice chair of the Antitrust Section of the American Bar Association on the Unilateral Conduct committee.  She previously served as vice chair to the Pricing Conduct committee and as an editor of the Antitrust Law Developments treatise.

David Cardwell, Litigation, Brussels

Mr. Cardwell focuses on EU and UK competition law (both mergers and behavioural) and international merger control.  He represents clients in significant mergers and acquisitions across many industry areas, including technology, media, oilfield services, general industrial manufacturing, chemicals and automotive.

Mr. Cardwell has counseled clients in merger reviews before both the European Commission and national competition authorities, including extended Phase II investigations and remedies negotiation. He has significant experience in international merger control, advising clients on merger filing requirements and strategy on a global basis, and has coordinated investigations and obtained approvals for mergers across multiple jurisdictions in Latin America, Asia and Africa.  In addition, Mr. Cardwell also advises clients in respect of behavioural investigations by the European Commission and national authorities, and counsels clients across a range of antitrust compliance issues including distribution, pricing,  IP licensing and competitor collaboration.

He was appointed as an editor to the American Bar Association Antitrust Law Section for the period 2020-2021 and represents the firm on the EU Antitrust Committee of the American Chamber of Commerce.

Cynthia Cole, Corporate, Palo Alto

Ms. Cole is a former CEO and General Counsel. Her practice focuses on corporate, strategic and technology transactions and data privacy. She advises clients across a wide variety of industries including technology, retail, telecommunications, social media and life sciences. She acts as outside general counsel to a number of executive teams and boards of directors as well as advising on mergers, acquisitions, asset purchases and joint development agreements.

She is sought after for her depth of experience in complex cross border transactions, IP and data-driven transactions, often creating bespoke agreements in novel technology fields. She advises clients on implementation and compliance with the California Consumer Privacy Act of 2018 (CCPA) and the EU's General Data Protection Regulation (GDPR).

In 2019, she was recognized as a California Trailblazer in data privacy by The Recorder. She has been recognized, as well, for her community involvement and influence, most recently by the Silicon Valley Business Journal as a 2020 Woman of Influence.

An adjunct Professor at Northwestern University Pritzker School of Law, Ms. Cole teaches a course on information and data privacy.

Matt Donnelly, Tax, Washington, D.C.

Mr. Donnelly advises public and private companies on a broad range of U.S. federal and state income tax matters, with a concentration on domestic and international mergers and acquisitions, dispositions, spin-offs, joint ventures, financing transactions, restructurings and internal reorganizations. He also regularly advises clients on a variety of tax matters involving the development, acquisition and disposition of green and renewable energy projects, including qualification and structuring issues related to tax credits and other tax benefits associated with such projects.

Mr. Donnelly also teaches corporate tax courses at Howard University School of Law, where he has been an adjunct professor since 2017, and Georgetown University Law Center, where he has been an adjunct professor since 2020. He frequently writes and lectures on tax-related topics, including transaction structuring, spin-offs and Reverse Morris Trust transactions, renewable energy tax incentives, partnership taxation and the impacts of tax reform.

Andrew George, Litigation, Washington, D.C.

Mr. George represents individuals and corporations in all stages of criminal and civil litigation, as well as in internal investigations. He has first-chaired trials, evidentiary hearings and appeals at both the state and federal levels.

His criminal defense practice has included representation of individuals and corporations both pre- and post-indictment and in investigations for fraud, conspiracy, money laundering, false statements, health care fraud, financial aid fraud, price fixing, FARA violations and FCPA violations.

Mr. George’s civil practice has spanned a broad range of commercial disputes in areas including breaches of contract, antitrust, privacy laws including COPPA, environmental regulation, ridesharing, employment law and alleged thefts of intellectual property.

He also devotes substantial time to pro bono work, with a focus on wrongful convictions. He is a member of the board of directors of the Mid-Atlantic Innocence Project and has served as lead counsel on numerous wrongful convictions matters. Mr. George is also an adjunct professor at Georgetown Law Center and George Washington University Law School, where he teaches courses on wrongful convictions.

Suzi Hengl, Intellectual Property, New York

Ms. Hengl is a member of our BAC (Branding, Advertising and Copyright) Section, and her practice focuses on litigation and counseling clients in connection with trademarks, trade dress, advertising, copyrights, unfair competition and related areas. Her practice also includes trademark and copyright clearance and opinion work, prosecution and enforcement. She is experienced in handling internet disputes involving domain names and regularly renders advice concerning contests, sweepstakes, and advertising practices involving both traditional and new media.

Ms. Hengl has represented clients in a number of different industries, including computer and consumer electronics, retail, apparel, telecommunications, energy, financial services, entertainment, food and beverage, leisure and hospitality, food packaging, facilities management and architectural products.

Sterling Marchand, Litigation, Washington, D.C.

Mr. Marchand's practice focuses on complex litigation, including environmental and commercial matters, as well as corporate investigations and white-collar criminal defense.

He represents corporate and individual clients at trial in state and federal courts in matters involving contractual disputes, allegations of price fixing, and the Clean Air Act.

Mr. Marchand counsels corporate clients in investigations by government agencies, in both criminal and civil contexts, including FCPA, fraud, securities and antitrust investigations. He also assists in conducting internal investigations and advising clients on risk management and compliance.

Additionally, he guides clients on campaign finance, ethics and lobbying compliance. He has assisted corporate clients with investigations by the FEC and in establishing a PAC.

Prior to joining Baker Botts, Mr. Marchand served as a policy advisor to the U.S. House Committee on Homeland Security. In that capacity, he worked with members of Congress, advising them on legislation and oversight of the Department of Homeland Security. He was responsible for matters pertaining to critical infrastructure protection.

Laura McDaniels, Tax, Palo Alto

Ms. McDaniels has nearly 20 years of experience advising private and public companies on compensation and benefits matters. She helps clients navigate the complex interaction of tax, securities, human resource and other considerations that arise with employee compensation arrangements.

She counsels companies at all stages of their life cycles, from startups to multinational corporations, on both day-to-day matters and transformative events. She also advises boards of directors, individual executives and investors.

A significant portion of her practice focuses on the compensation and benefits aspects of mergers and acquisitions, spin-offs, joint ventures and other complex transactions. She also has deep experience designing equity-based incentive arrangements for emerging growth and pre-IPO companies, including LLCs and other pass-through entities.

Having practiced law in Silicon Valley for her entire career, Ms. McDaniels has extensive experience working with technology companies and their investors.

Tina Nguyen, Litigation, Houston

Ms. Nguyen represents clients in state and federal courts in a variety of high-stakes, complex commercial matters. Her practice focuses on energy litigation, pension and ERISA matters, class actions and real-estate defense.

In the energy space, she represents and advises energy clients on a broad range of issues, including lease termination claims, royalty obligations, area of mutual interest provisions, operator disputes, midstream agreements, purchase agreements, and other disputes arising from or relating to oil and gas agreements. She also represents and advises clients in pension and ERISA matters.

Ms. Nguyen is actively involved in the community. Among other roles, she serves as Vice Chair of the Diversity, Equity, and Inclusion Committee for the Institute for Energy Law, Secretary of the Asian American Bar Association of Houston, and a board member of the Federal Bar Association of Houston. Before joining Baker Botts, she was a law clerk to Judge Sidney A. Fitzwater of the United States District Court for the Northern District of Texas.

Sian Williams, Corporate, London

Ms. Williams has extensive experience advising corporates, private equity sponsors, and other institutions on a range of corporate and corporate finance transactions across a broad range of industries. Her work has included public takeovers, mergers and acquisitions, joint ventures, IPOs, secondary and other equity offerings, as well as general corporate and commercial matters.

She joined the firm in September 2020 from Gibson Dunn & Crutcher. Prior to joining Gibson Dunn, Ms. Williams trained and practiced at the London office of Ashurst LLP, where she spent time seconded to the Dubai office and to Deutsche Bank in London, advising on public and private mergers and acquisitions, and equity offerings.
