Overview

Shane Wilson is a partner skilled in international projects and project finance. Shane has been based in Dubai for over 16 years and advises clients in respect of projects/transactions across the Middle East, Africa, the U.S. and Asia.

Shane has advised lenders, governments, project sponsors and project companies in relation to a wide range of transactions in various jurisdictions, including in respect of projects in the waste, energy, water, transportation, oil and gas, infrastructure and metals sectors.

Shane advises clients in respect of their offtake arrangements, concession agreements, fuel supply agreements and other project documentation. He regularly assists clients in relation to their structuring and procurement processes (from feasibility studies through to tender evaluation, award and implementation).

Shane also has a wide range of experience advising in respect of all finance and security-related documentation, including drafting/negotiating such documentation in respect of projects that have utilised conventional financing, Islamic financing, export credit, government funding, mezzanine/subordinated funding and other forms of credit.

Projects & Project Finance Transactions

  • Currently advising lenders to one of the bidders on the Abu Dhabi Waste to Energy Project.
  • Currently advising lenders to one of the bidders on the Al Haer wastewater project in Saudi Arabia.
  • Currently advising sponsors on their bid for a district cooling project in Diriyah, Saudi Arabia.
  • Advising a developer consortium in respect of a number of healthcare PPPs in Saudi Arabia.
  • Advising the purchaser on the acquisition of a Saudi company that owns / operates seven (7) separate wastewater PPPs in Saudi Arabia.
  • Advising NCP and various ministries on the structuring, procurement and implementation of three separate infrastructure PPPs.
  • Advising sponsors on the project development and project financing of a wastewater and water recycling project in the Eastern Province of Saudi Arabia.
  • Advising a Qatar-based developer in respect of a major IWPP in Qatar.
  • Advising sponsors in respect of the AD Street Lighting PPP.
  • Advising Sumitomo Corporation and its sponsor partners on all aspects of its bid for the Facility E IWPP in Qatar (funded by JBIC).
  • Advising lenders (six banks) to a Japanese consortium bidding for the Al Wakra Independent Sewage Treatment Project in Qatar.
  • Advising a development company on all project finance and project development aspects of two separate petrochemical projects in Eastern Province of Saudi Arabia.
  • Advising the Government of Dubai on the structuring, procurement and implementation of a major Waste-to-Energy Project in Dubai, UAE - the project will be the world’s largest waste-to-energy plant once it is built, processing municipal waste and reducing the landfill requirements of Dubai – financed by a number of commercial banks and JBIC / NEXI.
  • Advising the Government of Dubai on the structuring, procurement and implementation of a Biogas-to-Energy project in Dubai, UAE - the project converts biogas produced at Dubai’s largest wastewater treatment plant into energy.
  • Advising the sponsor consortium of Suez, Besix and Sojitz on its bid for the Taweelah IWP in Abu Dhabi (funded by JBIC).
  • Advising Veolia and its sponsor partners in respect of all aspects of its bid for the Barka 5 IWP in Oman.
  • Advising a Sponsor consortium on all aspects of its bid for the Damman ISTP in Saudi Arabia.
  • Advising a Sponsor consortium on all aspects of its bid for the Jeddah Airport ISTP in Saudi Arabia.
  • Advising the Government of Puerto Rico on the structuring and procurement of a water-related PPP.
  • Advising the sponsors and project company on all aspects of an independent power project (IPP) in Armenia.*
  • Advising a Japanese bidder on the Az-Zour North 2 Independent Water and Power Project (IWPP), Kuwait (JBIC funded).*
  • Advising the mandated lead arrangers supporting a bidder on the ADWEC procured solar IPP in Abu Dhabi.*
  • Advising the Acciona and GS Inima consortium on its bid for the Barka and Sohar independent water projects (IWPs) in Oman.*
  • Advising the sponsors on all financing and project aspects of a 140MW combined cycle gas turbine (CCGT) IPP in Tanzania.*
  • Advising the sponsors (Sumitomo Corporation, Malakoff International and Cadagua) in respect of the financing of the Ghubrah IWP in Oman; the lenders included Sumitomo Mitsui Banking Corporation, The Bank of TokyoMitsubishi and JBIC.*
  • Advising the sponsors in respect of the financing of the expansion of the existing Sur IWP in Oman; the transaction involves the restructuring and refinancing of the existing debt alongside the project financing of the expansion plant.*
  • Advising the IFC and the government of Egypt in relation to the development and financing of a 2,250MW combined cycle plant located at Dairut, Egypt.*
  • Advising Kuwait’s Partnership Technical Bureau (in partnership with HSBC and Fichtner) in connection with the development and financing of the 300MW Al Abdaliyah Integrated Solar Combined Cycle (ISCC) Project in the state of Kuwait.*
  • Advising Emirates Nuclear Energy Corporation on the development and financing of the 5,600MW, US$30 billion Barakah NPP in Abu Dhabi (funded by K-Exim).*
  • Advising Tabreed and its sponsor partner in relation to the financing of the acquisition of an existing plant and implementation of a project financing structure.*
  • Advising the Abu Dhabi National Energy Company PJSC (TAQA) and its sponsor partners on all financing aspects of their bid for the Rabigh 2 IPP in Saudi Arabia.*
  • Advising the Emerging Africa Infrastructure Fund in respect of its financing of an oil storage terminal as part of the Early Power IPP in Ghana.*
  • Advising the sponsors on all financing and project aspects of a 720MW CCGT IPP in Ghana.*
  • Advising the sponsors on the development of a 5MW solar energy facility in Sierra Leone - the first solar project in the country.*
  • Advising Tabreed in relation to the financing of the acquisition of an existing plant in the UAE, the engineering, procurement and construction of a new plant and implementation of a project financing structure.*
  • Advising (in partnership with HSBC) Bahrain’s Ministry of Finance in relation to the development and financing of a wastewater treatment plant in Muharraq and in relation to the preparation of a National Privatisation Strategy Plan for the Sanitary Engineering Affairs Department of the Ministry of Works, as part of Bahrain’s overall privatisation strategy.*
  • Advising Kuwait’s Partnership Technical Bureau in connection with the development and financing of the Umm Al Hayman wastewater project.*
  • Advising the lenders to one of the consortia bidding for the Ras Az Zawr IWPP in the Kingdom of Saudi Arabia; the proposed financing consisted of funding from Saudi banks, K-Exim and China-Exim.*
  • Advising the lenders to one of the consortia bidding for the Al Dur IWPP in the Kingdom of Bahrain; the proposed financing consisted of funding from Saudi banks and K-Exim.*
  • Advising Tabreed in respect of the EPC arrangements entered into in respect of an expansion to the Shams district cooling project in Abu Dhabi.*
  • Advising the international consortium of Marubeni Corporation, Japan Gas Corporation, BTU Power and Powertek of Malaysia on project and financing aspects of the US$3 billion acquisition and project financing of the Taweelah B plant in Abu Dhabi.*
  • Advising Iraq’s Ministry of Oil in respect of the Iraq-Jordan export pipeline project; the proposed financing consists of funding from a number of international banks and export credit agencies.*
  • Advising the investment arm of a Saudi government-owned finance institution in respect of its investment in two private petrochemical projects in Saudi Arabia.*
  • Advising the Islamic financiers in relation to the Shari’ah-compliant financing (including Commodity Murabaha and Istisna’a-Ijara structures) of a petrochemical project in Singapore.*
  • Advising the Bahrain-based project sponsors in relation to the Shari’ahcompliant financing (consisting of two Commodity Murabaha) of a biodiesel project in Hong Kong.*
  • Advising (in partnership with HSBC) the sponsors, Sipchem and Hanwha Chemical of Korea, on all financing and project aspects of a petrochemical project in Saudi Arabia; the financing consisted of funding from Saudi banks on a Shari’ah-compliant basis (including Commodity Murabaha and Istisna’a-Ijara structures), PIF and SIDF.*
  • Advising the sponsors in relation to the financing of a petrochemical project in Saudi Arabia; the proposed financing consisted of funding from Saudi banks on a Shari’ah-compliant basis (including Commodity Murabaha and Istisna’a-Ijara structures) and SIDF.*
  • Advising Sadara Chemical Company on two petrochemical joint venture projects in respect of plants to be located within the main Sadara complex (undertaking both finance and project development work) and the structuring of a number of its proposed financing investments designed to attract differentiated conversion projects to specific Sadara controlled areas and facilitate investment by itself and others in such projects. In addition, advising Sadara in respect of a number of its procurement activities related to the main project financing (including transportation services, warehousing, waste and marine services, and including drafting its RFPs and other associated documentation).*
  • Advising Standard Chartered Bank in respect of a number of cross-border financings, which involved advising in respect of financing and security related matters in various jurisdictions in Africa, including in Burundi, Djibouti, Ghana, Côte D’Ivoire and Senegal.*
  • Advising Standard Chartered Bank and AfDB as lenders on the financing aspects of the expansion, upgrade and operation of the existing container terminal at the Port of Dakar, Senegal.*
  • Advising various lenders in relation to the financing of the construction of an integrated steel complex in Hidd, Bahrain.*
  • Advising the Islamic MLAs in respect of US$1.2 billion facilities (including Commodity Murabaha and Istisna’a-Ijara structures) to a Saudi Arabian sponsor in relation to the design, construction, commissioning, financing and operation of steel billet and pellet facilities and related infrastructure.*
  • Advising Al Wa’ab City W.L.L. on its US$1.25 billion financing of the Al Wa’ab City mixed-use property development in Doha, Qatar; the financing consisted of a multi-tranche conventional senior facility, an Islamic mezzanine facility (Commodity Murabaha) and a simultaneous equity private placement.*

Finance Transactions

  • Advising a Qatar bank in respect of a construction financing transaction related to property in the UAE.*
  • Advising a UAE-based property developer in respect of its inter-company property-related loan transactions.*
  • Advising HSBC Bank Middle East on five separate Islamic finance transactions (utilising Commodity Murabaha structures) in respect of transactions in the property and construction sectors.*
  • Advising a UAE-based Islamic financier on three separate Islamic finance transactions (utilising Commodity Murabaha structures) in respect of transactions in the construction sector.*
  • Advising a commercial finance company (partly owned by the Abu Dhabi government) in respect of a number of financing arrangements across various sectors.*
  • Advising the lenders/investors in respect of an acquisition financing in the telecommunications sector. The transaction also involved other financing arrangements, including security, revolving credit facilities, bilateral lending and sale/leaseback arrangements.*
  • Advising the lenders in relation to the financing of an infrastructure transaction, where the borrower and guarantors were based in the Republic of Iraq.*
  • Advising a prominent Saudi family in respect of the restructuring of all of its finance arrangements entered into with over 40 banks, amounting to approximately US$2 billion.*
  • Advising Tabreed on its restructuring of a sale, lease and lease-back arrangement in respect of a number of its cooling assets in the UAE, where the lender is Bahrain based and the sub lessor is based in the Cayman Islands.*
  • Advising a UAE-based corporate on its financing and joint venture arrangements entered into with its construction contractor in respect of the construction and delivery of various phases of a mixed-use development in Abu Dhabi.*
  • Advising a syndicate of lenders on the US$800 million restructuring of a leading international developer and operator of destination resorts, casinos and luxury hotels.*
  • Advising a major Middle Eastern energy project company on the restructuring of its commercial facilities.*
  • Advising a UAE bank in relation to the financing and security aspects of its corporate facility with a major UAE-based equipment supplier.*
  • Advising Tabreed in respect of the financing arrangements of one of its district cooling plants located in Oman, where the lender was Oman based.*
  • Advising the US-based purchaser of a portfolio of assets located in the UK.
  • Advising a Qatar-based investment bank in connection with the structuring of its proposed investment in a Saudi Arabian property investment fund.*
