Mr. Mcilwham has experience in drafting M&A transactional documents, coordinating large scale due diligence reviews, providing regulatory advice, construction work and advising on corporate fundraising.

Mr. Mcilwham's clients include green hydrogen and renewable energy developers, oil and gas supermajors, electric vehicle battery startups and national governments.

Experience

Power & Renewables M&A

  • Major European renewables company: advising on acquisition of a solar PV project developer, including coordinating legal due diligence across 15 jurisdictions in Europe, Africa and South America, negotiation of transaction documents including SPA and warranty deed and liaising with W&I insurers to arrange appropriate cover.*
  • Confidential client: drafting SPA for sale of 25% of the share capital in 1GW onshore wind farm project in Romania.*
  • Confidential joint venture client: due diligence review of UK solar PV projects ahead of proposed investment by client.*

Construction

  • Air Products and Neom Green Hydrogen Company: advising on various construction and commercial contracts relating to the development of a major new green hydrogen and ammonia production facility, wind farm and solar plant to be located in the NEOM industrial city in Saudi Arabia. Responsibilities have included negotiating and drafting FIDIC-based EPC subcontracts and ancillary documents, review of the offtake arrangements and general corporate advice.

Power & Renewables Project Development

  • Olayan Energy: drafting template PPA for use on rooftop solar projects in the Middle East region.
  • Confidential client: preparing finance documentation on behalf of lenders to waste to energy project in the UAE.
  • Major European renewables company: advising on bid to construct a 140MW solar PV plant in Albania, including review of the bidding procedure documents, project development agreement and PPA, drafting clarification questions, risk allocation analysis, commercial analysis including the contemplated PPA to CfD conversion, proposing changes to project documentation and advising on land rights issues.*
  • Electric vehicle battery start-up: drafting corporate documents, negotiating NDAs, drafting MoUs with potential customers, advising on acquisition of key supplier and coordinating multiple legal workstreams.*
  • Confidential client: advising on regulatory aspects of proposed electricity interconnector cable between UK and another country.*
  • Ministry of Energy of confidential Caribbean government: advising on the RfP process and PPA for the development of utility scale solar PV generation assets.*
  • Major UK retailer: drafting framework agreement for the installation of electric vehicle charging points at multiple car park locations around the UK.*
  • Various insurers: Advising on risks in relation to renewable electricity generation subsidies, accreditation and grid connection.*
  • Major UK retailer: reviewing nationwide electricity supply contract for retail sites and drafting extension and variation agreement.*
  • Confidential client: providing regulatory advice in relation to a solar PV plant in the UK, including advice on the ROCs subsidy regime.*
  • Steel producer: Advising on capacity contract with major European offshore wind developer.*

Oil & Gas

  • High Power Petroleum: advising on various corporate matters, including the acquisition of Turkish and North Sea offshore assets, corporate restructuring and contract management for certain South American projects.
  • LNG Japan: advising LNG Japan Corporation's wholly owned subsidiary LJ Scarborough during its acquisition of a 10% stake in Woodside Energy's Scarborough joint venture in Australia for USD 500 million.
  • Oil and gas supermajor: advising in relation to the acquisition of upstream oil and gas assets in West Africa. Coordinating legal due diligence, reviewing GSAs and PCGs, drafting TSA.*
  • Energy trading company: advising on terms of RfP for the provision of trading/operations desk management services, managing the RfP process, liaising with bidders and reviewing proposals.*
  • Confidential national oil company: advising in relation to a farm-in agreement for an upstream asset in Mozambique.*
  • Oil and gas supermajor: drafting template FPSO bareboat charter party and associated O&M agreement.*

Government & Regulatory

  • Confidential government client: advising in relation to a public procurement project, including drafting of multiple tender documents and template contracts, assisting with legal project management and reporting to client's senior management team.*
  • Confidential client: coordinating production of multi-jurisdictional regulatory report on transaction notification requirements, including liaising with local counsel, collating responses and drafting final form of report.*
